AceShowbiz - David Zaslav, CEO of Warner Bros. Discovery, is set to receive a 2025 pay package valued at $165 million, a significant increase from $51.9 million the previous year. This surge is largely driven by option awards worth $109.6 million, granted as part of an amended employment deal established last year.
The enhanced compensation was initially tied to a one-time bonus linked to a plan that would have split Warner Bros. Discovery into two separate entities. Although the company ultimately decided not to proceed with the separation, the agreement and associated compensation remain intact.
Instead of the split, Warner Bros. Discovery is now pursuing a pending merger with David Ellison’s Paramount. If this merger closes, it will trigger a substantial golden parachute payout for Zaslav, reflecting the financial incentives embedded in his contract.
According to the company’s proxy statement filed with the SEC on Thursday, the board’s Compensation Committee implemented these pay measures in 2025 to support retention and encourage the exploration of strategic options. The statement notes, “Certain of the Committee's actions in 2025 were designed to support retention and incentivize our pursuit of other strategic options. Although the separation was not completed and the Paramount merger was subsequently approved, certain of these compensation actions remain in effect.”
This pay increase for Zaslav highlights a broader trend within the media and entertainment industry, where executive compensation surged by 117% in 2025, according to recent reports.
